Mergers and Acquisitions: Emerging Trends and New Legislation for China

This presentation will examine recent developments in mergers and acquisitions in China, with a particular focus on asset acquisition and the implications of the recently enforced "Administrative Measures of Corporate Income Tax Treatments for Corporate Restructuring" notice.

From a buyer's perspective, asset acquisition presents a number of advantages over share acquisition. For example, it allows the buyer to avoid acquiring hidden or unknown liabilities of the Target Company and cherry-pick those assets it wants. Fallout from the global financial crisis continues in many countries around the world leading to a significant increase in asset acquisitions over the past year, in this seminar we will share our experience of the recent M&A market. Furthermore, the seminar aims to provide insight into the main points of the “Administrative Measures of Corporate Income Tax Treatments for Corporate Restructuring” notice and how this can affect M&A in China.

Specific points to be discussed will include:

-An overview of the concept of 'Asset Acquisition'
-Comparison between asset and share acquisition
